SUMMARY
To protect EZ Messenger (EZM) and EZM Client sensitive data and confidential information (including but not limited to
PII/NPI) Service Vendors and EZM employees are required to sign a non-disclosure agreement (NDA). In the event of a
breach, EZM will seek legal action.
RESPONSIBILITIES
Office of General Counsel shall be responsible for exercising and enforcing this policy. Failure to adhere to this policy may result in disciplinary action, per EZ Messenger’s Employee and Process Server manual, and possible legal action.

POLICY
As NDAs are binding contracts, the agreements should be signed by an authorized EZM signatory.
Access to systems, programs, and information will not be authorized unless signed NDA is received.
EZM advises to err on the side of caution, when uncertain, discuss the situation with your Department Manager. To prevent disclosures, please follow the EZM Security Memo’s clean desk policy, visitor guidelines, and internet policy.
In the event of breach (e.g. breach of contract, copyright or patent infringement, misappropriation of trade secrets, or PII/NPI disclosure) EZM will seek appropriate action. Possible action includes but is not limited to:
Cease and desist letter.
If appropriate, EZM will file a temporary restraining order or injunction against the responsible party to prevent further disclosure.
Termination of EZM employment or contractual relationship
Commencement of legal action
